1. Agreement

When you join the DLemo Affiliate Programe (“Programe”), you agree to these Terms & Conditions (“Terms”), which are a legally binding agreement between you and DLEMO. Continued participation after any modification constitutes acceptance.

 2. Eligibility & Acceptance

To become an affiliate, you must be at least 18 years old and provide accurate contact and banking information. DLEMO reserves the sole and absolute right to accept or reject any application at its discretion without providing reasons.

3. Commission & Payment

Commission is 25% of the net sale amount (based on the full price items) from eligible purchases made using your unique affiliate-specific code. Aida & Felic retains the exclusive right to define, qualify, and disqualify transactions for commission at its sole discretion.

Minimum payout threshold: USD50 (or equivalent) per calendar month.

Payment Terms:

Commissions are paid within 30 days after the end of the month in which the sale was finally confirmed by us, following the expiry of the return/cancellation period. All payments are conditional and may be withheld pending investigation.

Exclusions:

Commission excludes all shipping charges, duties, taxes, sale/discounted items, and any transactions marked as “final sale” or identified as fraudulent or cancelled.

Company Discretion: Aida & Felic reserves the right to modify the commission structure, payment thresholds, and schedules at any time. Payment methods (PayPal, bank transfer) are at our sole discretion.

4. Eligible Sales

Only sales that are paid in full, dispatched, and not returned or refunded within the stipulated return period qualify. DLEMO internal records are the definitive authority for determining sale eligibility and commission calculations.

5. Marketing & Promotion Guidelines

You must promote DLEMO in a manner consistent with our luxury brand image—truthful, tasteful, and non-misleading.

Pre- & Post-Approval Rights: All promotional content and methods are subject to prior written approval by DLEMO and may be revoked at any time.

Strict Prohibitions: You are expressly prohibited from:

  • Bidding on DLEMO brand names, trademarks, or variations in pay-per-click
  • Using spam, unsolicited emails, or creating fake brand accounts.
  • Misrepresenting your relationship with DLEMO.
  • Engaging in any form of fraudulent, incentivized, or artificial traffic generation.

Audit Right:

DLEMO may request access to your promotional metrics and traffic data for verification at any time.

Consequences:

Failure to comply may lead to immediate termination, removal from the Program, and forfeiture of all unpaid commissions. 

6. Term, Termination & Forfeiture

Termination by You: You may terminate with 7 days’ prior written notice.

Termination by DLEMO We may terminate this Agreement at any time, with or without cause, upon 7 days’ written notice.

Forfeiture of Commissions: Upon termination for any reason, your right to earn future commissions ceases immediately. All earned but unpaid commissions may be withheld indefinitely if termination results from your breach of these Terms.

Fraud & Breach: If DLEMO discovers or reasonably suspects fraudulent, deceptive, or prohibited activity (including traffic manipulation, self-referrals, or policy violations), we may, at our sole discretion: (i) immediately terminate this Agreement; (ii) withhold, reduce, or reclaim all pending and paid commissions related to such activity; and (iii) pursue any additional legal remedies.

7. Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable license to use our provided logos and branding materials only as expressly approved for promotion under this Program. All rights, title, and interest remain solely with DLEMO

8. Limitation of Liability

To the maximum extent permitted by law, DLEMOshall not be liable for any indirect, special, incidental, or consequential damages arising from this Programme. Our maximum aggregate liability for any direct damages shall not exceed the total commissions paid to you in the six (6) months preceding the event giving rise to the claim.

9. Confidentiality

You agree to keep all business information, including these Terms and commission structures, confidential during and after the term of this Agreement.

10. Governing Law & Jurisdiction

These Terms are governed by and construed exclusively under the laws of Hong Kong SAR. Any dispute shall be subject to the exclusive jurisdiction of the Hong Kong courts. The prevailing party in any action is entitled to recover its reasonable legal costs and fees.

11. Amendments

DLEMO reserves the unilateral right to modify these Terms at any time. The updated version, effective immediately upon posting on our website, will be binding. You are responsible for regularly reviewing the Terms.
